Rules of the marketplace

Terms of Service

These Terms govern your use of UGCify. By creating an account or using the service, you agree to them.

1. Agreement to these Terms

These Terms of Service (“Terms”) are a binding agreement between you and Kreate Technologies LLC operating the UGCify marketplace (“UGCify”, “we”, “us”). If you use UGCify on behalf of a company, you represent that you have authority to bind that company.

If you do not agree, do not create an account or use the service. Supplemental policies (Privacy Policy, Help Center rules, fee schedules in Admin/settings) form part of this agreement where referenced.

2. Accounts & eligibility

  • You must provide accurate registration information and keep it updated.
  • Accounts are registered as a Brand or a Creator (admin roles are internal).
  • You are responsible for activity under your login. Notify us promptly of unauthorized access.
  • We may refuse, suspend, or terminate accounts for fraud, policy breaches, chargebacks abuse, or legal risk.
  • Creator applications may require platform verification before submitting to briefs.

3. Briefs, applications & contracts

  • Brands post briefs describing scope, budget, deadline, markets, and optional boost badges.
  • Creators apply to open briefs; brands award a creator to form a contract.
  • A contract becomes an active paid engagement once the brand successfully funds escrow for that contract.
  • Creators must deliver work that reasonably matches the funded brief and agreed formats.
  • Brands must review submissions in good faith within a reasonable time.
  • Boost badges (Urgent, Hot, Professional) may be sold as optional add-ons; fees are charged from the brand wallet at publish or purchase time and are generally non-refundable once the brief is live, except where required by law or clear billing error.

4. Escrow, wallets & fees

  • Escrowed funds are held for the contract until approval, refund, or dispute resolution.
  • On approval/release, UGCify deducts platform fees (tier-based Nano/Micro rates) and applicable payout gateway fees before crediting the creator wallet.
  • Brands fund wallets for escrow and fees; creators withdraw available balances via supported methods (e.g. Stripe, ZainCash, FIB where offered).
  • Currency handling (USD/IQD) follows the methods available in your region and on-screen quotes.
  • Fee percentages and badge prices may be updated by UGCify; the rates shown at the time of funding or badge purchase apply to that transaction.
  • You authorize us to reverse or adjust ledger entries for proven error, duplicate pay, chargeback, or fraud.

5. Content, IP & license

  • Creators retain ownership of materials they upload except as licensed under the brief/contract.
  • Unless the parties agree otherwise in writing, awarding/funding grants the brand a commercial license to use approved deliverables for advertising and social promotion consistent with the brief (including paid ads, edits for format/length, and posting on brand channels).
  • You represent you have rights to everything you upload (including music, logos, and faces that require releases).
  • You grant UGCify a limited license to host, display, and process content for operating the marketplace (including portfolio pages and moderation).

6. Acceptable use & prohibited conduct

You agree not to:

  • Post illegal, infringing, hateful, exploitative, adult sexual, or clearly deceptive advertising content.
  • Fake engagement metrics, portfolios, identities, or testimonials.
  • Circumvent escrow to avoid fees in a way that violates these Terms after using UGCify to match (we may still bill or suspend for abuse).
  • Harass users, scrape the service abusively, reverse engineer, or disrupt security.
  • Use the platform from or toward markets we geo-block or that violate applicable sanctions/ad laws.

We may remove content, freeze wallets, cancel contracts, or ban accounts for violations.

7. Disputes between brands and creators

Either party may open a dispute on a funded contract. UGCify’s compliance team may review briefs, deadlines, messages, deliverables, and payment history, then decide to release funds to the creator, refund the brand, split amounts, or take another fair commercial remedy.

You agree that UGCify’s good-faith decision on escrow disposition is final for platform purposes, without limiting any right you may have to pursue independent legal claims against the other party offline.

8. Service availability

We aim for reliable uptime but do not guarantee uninterrupted access. Features may change. We may perform maintenance, or suspend parts of the service for security or legal reasons.

9. Disclaimers & limitation of liability

UGCify is a marketplace platform. We are not the employer of creators and not a party to creative instructions beyond tools and escrow facilitation, except where these Terms say otherwise.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. UGCify’s total liability arising out of these Terms or the service in any twelve-month period is limited to the greater of (a) fees you paid to UGCify (platform/badge fees, excluding escrow principal belonging to the other party) in that period, or (b) USD 100. We are not liable for indirect, incidental, special, consequential, or lost-profit damages. Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent allowed.

10. Indemnity

You will defend and indemnify UGCify and its officers against claims arising from your content, your breach of these Terms, your violation of law, or your disputes with another user — except to the extent caused by our willful misconduct.

11. Governing law & changes

These Terms are governed by the laws applicable to Kreate Technologies LLC’s principal place of business, without regard to conflict-of-law rules, unless mandatory consumer protections in your country require otherwise.

We may update these Terms. The “Last updated” date will change when revisions are published. Continued use after an update constitutes acceptance of the revised Terms, except where local law requires affirmative consent.
